1. OVERVIEW

A.

This document is an electronic record in terms of the Information Technology Act, 2000, and the rules made thereunder, as applicable, and the amended provisions relating to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signature.

B.

This document is published in accordance with the provisions of Rule 3(1) of the Information Technology (Intermediaries Guidelines and Digital Media Ethics Code) Rules, 2021, which require publishing the rules and regulations, privacy policy, and Terms and Conditions for access or usage of the platform.

C.

Please read these Terms and Conditions ("Terms") carefully before using the mobile application, website, or any other digital platform ("Platform") operated by KORAB HOSPITALITY MANAGEMENT, a company incorporated under the Companies Act, 2013, having its registered office at 66/2238, A-1, 2nd Floor, Pulleppady Road, Ernakulam North, Ernakulam – 682018, Kerala ("Korab", "Company", "we", "our", or "us").

D.

By accessing, registering on, or using the Platform, you ("User", "Client", or "Personnel") agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Platform.

2. GENERAL

A.

Korab is a digital platform that facilitates manpower service coordination and related hospitality management solutions, enabling clients to connect with verified and trained personnel for various domestic, commercial, and hospitality-related services. The use of this Platform is subject to the Terms and Conditions set forth herein.

B.

The website www.korab.com (the "Website") and the mobile application "Korab", available on the Google Play Store and Apple App Store (collectively referred to as the "Platform"), are owned and operated by KORAB HOSPITALITY MANAGEMENT, a company incorporated under the Companies Act, 2013, having its registered office at 66/2238, A-1, 2nd Floor, Pulleppady Road, Ernakulam North, Ernakulam – 682018, Kerala (hereinafter referred to as the "Company").

C.

The expressions "we", "us", "our", "the Platform", and "Korab" shall refer to the Company, including its affiliates, officers, employees, agents, and partners. The expressions "buyer(s)", "visitor(s)", "user(s)", and "you" shall refer to any individual or entity visiting, accessing, browsing, registering on, or otherwise using the Platform in any manner whatsoever.

D.

Korab offers access to its Website and App, including all information, features, functionalities, and services made available thereon (collectively, the "Services"), to you — the user — subject to your acceptance of these Terms, the Privacy Policy, the Cookies Policy, and any other notices or guidelines posted on the Platform from time to time.

E.

By using the Platform, you agree that such access and use are conditional upon your full compliance with these Terms and all applicable laws and regulations.

F.

By accessing, browsing, registering on, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and Conditions and any documents incorporated herein by reference.

G.

These Terms constitute a binding and enforceable agreement between you and Korab Hospitality Management. If you do not agree with any part of these Terms, you must immediately discontinue use of the Platform and the Services provided thereon.

3. MODIFICATION OF TERMS

A.

Korab reserves the right, at its sole discretion, to amend, modify, update, or replace these Terms and Conditions from time to time without any prior individual notice to users. Such updates shall be effective immediately upon posting on the official website www.korab.com or within the Korab App. Users are advised to periodically review the Terms and Conditions to stay informed of any changes, as the most current version shall always govern the use of the Platform.

B.

Your continued access to or use of the Platform and its Services after the publication of any revised Terms and Conditions shall constitute your acknowledgment and acceptance of such modifications. If you do not agree to the updated Terms, you must immediately discontinue use of the Platform.

4. ELIGIBILITY

A.

Persons who are "incompetent to contract" within the meaning of Section 11 of the Indian Contract Act, 1872, including but not limited to minors, un-discharged insolvents, or any person disqualified from entering into a valid contract under applicable law, shall not be eligible to register on, access, or use the Platform or avail of the Services offered by Korab.

B.

To be eligible to use the Platform, you must be legally competent to enter into a binding contract, i.e., you must have attained the age of majority (18 years) and be of sound mind. The Platform is not intended for use by individuals below 18 years of age.

C.

If you are under 18 years of age, you may access or use the Platform only through your parent or legal guardian, who shall be deemed the actual user of the Services and shall be responsible for all obligations and liabilities arising from such use on your behalf.

5. LICENSE & SITE ACCESS

A.

Korab grants you a limited sub-license to access and make personal use of this site and not to download or modify any portion of it. This license does not include any resale or commercial use of this site or its contents; any collection and use of any product listings, descriptions, or prices; any derivative use of this site or its contents; any downloading or copying of account information for the benefit of another merchant; or any use of data mining, robots, or similar data gathering and extraction tools.

B.

You shall not reproduce, duplicate, copy, sell, or exploit the platform or any part of it including but not limited to any of its offerings and the same shall not be exploited for any commercial purpose. Any unauthorized use your license to access/use the Website.

C.

You shall not attempt to gain unauthorized access to any portion or feature of the Website, or any other systems or networks connected to the Website or to any server, computer, network, or to any of the services offered on or through the Website, by hacking, 'password mining' or any other illegitimate or unlawful means.

6. PRICING

A.

The prices quoted at the time of request to avail our services will be the prices charged at the time of the delivery. Korab may also charge an additional service fee, over and above the quoted price as and when required for any additional services that are availed by the user.

7. YOUR CONDUCT

A.

You consent, agree and undertake that you shall use the Website in conformity with the Law of the land and these Terms and Conditions. A breach or violation of any of the Terms will result in an immediate termination of your Services. As a user of our Website, you restrained from undertaking the following activities:

  • Gain or attempt to gain unauthorized access to the Website or any constituents of it, by data and password mining, hacking or any other illegitimate/unlawful means. The use of our Website for any commercial or otherwise unlawful purposes is expressly prohibited.
  • Transmit messages or posts that are grossly harmful, harassing, blasphemous, defamatory, obscene, threatens to invade or invades privacy, hateful, objectionable, or otherwise unlawful.
  • Interfere with the use and enjoyment of the Website by other persons.
  • Infringes any patent, trademark, copyright or other proprietary rights or third party's trade secrets or rights of publicity or privacy or shall not be fraudulent or involve the sale of counterfeit or stolen products.
  • Impersonation, usage of wrong address and email IDs, etc., to cause annoyance of others is prohibited.
  • The services provided on the Website shall not be used for any illegal or unauthorized purposes. You must not transmit any worms or viruses or any code of a destructive nature.

8. THIRD PARTY WEBSITES

A.

The Website may contain links to third party websites/apps that are not owned or controlled by us. Korab assumes no responsibility for the content, privacy policies, or practices of any third-party web sites or services. We do not warrant the offerings of any of these entities/individuals or their websites.

B.

You acknowledge and agree that Korab shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such third-party web sites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.

9. COPYRIGHT & TRADEMARK

A.

Korab, its suppliers and licensors, if any, expressly reserve all intellectual property rights in all text, images, programs, products, processes, technology, content and other materials, which appear or are displayed on the Website.

B.

You shall not frame or utilize framing techniques to enclose any trademark, copyright, logo, or other proprietary information (including images, text, page layout, or form) of Korab. You shall not use any meta tags or any other "hidden text" utilizing the company's name or trademarks.

C.

Mere access to the Website or any of the services offered by Korab shall not be construed as conferring upon anyone, any Intellectual Property owned by Korab or any third party. Copyrights of the Website are wholly and exclusively owned by Korab. You may not copy, store, modify, distribute, store any data available on the website other than for your personal non-commercial use.

D.

The contents and software on this website may be used only as a resource to list and avail services related to photography. Any other use, including the reproduction, modification, distribution, transmission, republication, display, or performance, of the contents on this website is strictly prohibited.

E.

Reviews, feedback, submissions all reviews, comments, feedback, postcards, suggestions, ideas, and other submissions disclosed, submitted or offered in connection with your use of this Platform (collectively referred to as the "Comments") shall be and remain the property of Korab. Such disclosure, submission or offer of any comments shall constitute an assignment to Korab of all worldwide rights, titles and interests in all copyrights and other intellectual properties in the comments. Thus, Korab owns exclusively all such rights, titles and interests and shall not be limited in any way in its use, commercial or otherwise, of any comments.

10. CANCELLATION AND REFUND POLICY

A. Cancellation

1. A User (Client) may cancel a confirmed service booking or manpower engagement up to fifteen (15) days prior to the scheduled commencement of services, in which case a full refund shall be provided, subject to deduction of applicable payment gateway or transaction charges.

2. If the scheduled service is rescheduled, postponed, or cancelled due to a COVID-19–related restriction or any government-imposed lockdown, Korab shall arrange for a full refund or, where feasible, facilitate rescheduling of the service, based on mutual agreement with the Client.

3. Refunds shall be made by bank transfer or through the same payment method originally used by the Client, after deduction of applicable transaction or gateway charges, and shall ordinarily be processed within three (3) to five (5) business days from the date of confirmation of cancellation by Korab.

4. In cases where the cancellation is made within seventy-two (72) hours prior to the scheduled start of the service, excluding circumstances such as medical emergencies, illness, or the demise of a close family member, such cancellation shall be treated as "Cancellation at the Last Moment."

5. In such instances, twenty percent (20%) of the total booking amount shall be deducted as a cancellation fee, and the balance shall be refunded to the Client's bank account.

6. Where services were booked under an installment or stage payment arrangement, the portion of the payments already processed shall be deducted, and the balance amount shall be refunded accordingly.

7. The "Cancellation at the Last Moment" policy shall apply only to confirmed manpower service packages involving long-term or monthly personnel deployment.

8. For short-term, hourly, or daily service bookings, no refund shall be issued in the event of cancellation, as the allocated personnel would have foregone other work opportunities due to the confirmed engagement.

9. All cancellations and refund claims shall be subject to verification and confirmation by Korab, and any refund entitlement shall be processed strictly in accordance with these Terms and Conditions.

B. Refund

1. Refunds shall be processed only through Korab's authorized payment gateway partners or by bank transfer in accordance with the mode of original payment, and shall be subject to applicable banking and transaction regulations.

2. Refunds shall ordinarily be initiated within twenty-one (21) days from the date of cancellation confirmation. However, Korab shall not be liable for any delay in processing refunds arising from causes beyond its reasonable control, including but not limited to delays by banks, payment gateways, or financial institutions.

3. Clients are strongly advised to review all service details, pricing, and personnel arrangements carefully before confirming any booking or making any payment.

4. The Client agrees to indemnify and hold harmless Korab, its directors, officers, employees, and affiliates from and against any loss, liability, penalty, claim, or expense (including legal costs) arising out of or in connection with:

  • Any breach of these Terms and Conditions by the Client;
  • Any violation of applicable laws or third-party rights; or
  • Any dispute or complaint by engaged personnel arising from Client's conduct or termination of engagement.

11. REPLACEMENT POLICY

A.

We have selected our printing partners with utmost care and we make use of premium inks and materials for printing the albums.

B.

If any unforeseen damages occur due to technical fault from our end, then the damaged album shall be duly replaced by us.

C.

The USB storage drive which we use to deliver our edited video outputs will be branded, if any malfunctions occurred, the onus lies with the manufacturer of storage devices.

D.

Korab ensures that all personnel deployed through its platform are verified, trained, and selected with due diligence to meet service standards and client requirements. Each worker or service professional undergoes identity verification and basic orientation before being assigned to any Client.

E.

In the event that any deployed personnel fails to report for duty, demonstrates unsatisfactory conduct or performance, or otherwise becomes unavailable for legitimate reasons, Korab shall, upon receipt of written notification from the Client, make reasonable efforts to arrange for a suitable replacement within a reasonable period, subject to the availability of personnel in the same category. Such replacement shall be made without any additional service charge, provided the complaint or request is genuine and made within the initial period of deployment as agreed between the Parties.

F.

Korab shall not be liable to provide a replacement in cases where:

  • The Client has directly engaged the personnel outside the Platform;
  • The issue arises from the Client's supervision, work conditions, or breach of contract; or
  • The personnel's discontinuation was due to circumstances beyond Korab's control (including illness, personal emergencies, or acts of God).

G.

If a replacement cannot be arranged within a reasonable period due to unavailability of equivalent personnel, Korab may, at its discretion, provide a pro-rata refund or service credit for the unused portion of the engagement, after deducting applicable administrative or placement fees.

H.

The Client acknowledges that all deployed personnel are independent workers and not employees of Korab. Accordingly, Korab shall not be responsible for any personal behavior, negligence, or default of the personnel beyond arranging a reasonable replacement as per this policy.

12. DISCLAIMERS AND LIMITS OF LIABILITY

Korab reserves the right to increase or decrease the price of any of the products offered for sale on the platform, without notice to you. Korab makes no representations, warranties or conditions of any kind, express or implied, with respect to the services sold through the Website, including, but not limited to, any implied warranty of merchantability, fitness for a purpose, title, or non-infringement, or any warranty arising by usage of trade, course of dealing or course of performance.

13. CONSTRUCTION AND SEVERABILITY

A.

These Terms and Conditions and supersede and merge all prior proposals and all or any other prior arrangement/agreements. To the extent of any conflict or inconsistency between the Terms and Conditions and any pages referenced in these Terms and Conditions, the terms of these Terms and Conditions will first prevail, followed by the pages referenced in these Terms and Conditions.

B.

Headings herein are for convenience of reference only and shall not affect the interpretation of these Terms and Conditions. If any provision of these Terms and Conditions is determined to be unenforceable, that provision will be eliminated to the minimum extent necessary so that these Terms and Conditions shall otherwise remain in full force and effect and shall be enforceable.

14. TERMINATION

A.

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms and Conditions.

B.

If you wish to terminate your account, you may simply discontinue using our Platform.

C.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

15. GRIEVANCE REDRESSAL OFFICER

In accordance with the provisions of Rule 4(4) of the Consumer Protection (E-Commerce) Rules, 2020 and Rule 3(2) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, the details of the Grievance Redressal Officer designated for the redressal of consumer complaints and user grievances relating to the use of the Korab platform are as follows:

16. GOVERNING LAW AND JURISDICTION

A.

These Terms and Conditions shall be construed in accordance with the applicable laws of India. The parties hereto submit to the exclusive jurisdiction of the courts of India.

B.

No delay or failure on our part to enforce our rights or remedies under the Agreement shall constitute a waiver on our part of such rights or remedies unless such waiver is confirmed in writing.
